Klarna Bank AB (publ) announces final tender offer results

Stockholm, Sweden - April 7, 2021 Klarna Bank AB (publ) (“Klarna”) today announces the final results of its invitation dated 30 March 2021 to the holders of its outstanding bonds outlined below (the “Bonds”) to tender their Bonds for purchase by Klarna for cash (the “Tender Offer”).

Tender Offer

The Tender Offer was made on the terms and subject to the conditions set out in a tender information document dated 30 March 2021 (the “Tender Information Document”), available on the website of Klarna:

At the expiration of the Tender Offer at 16:00 CET on 6 April 2021, valid tender instructions of SEK 516m in an aggregate nominal amount of Bonds were received pursuant to the Tender Offer. All valid tender instructions received has been accepted for purchase by Klarna. The Bonds repurchased will be cancelled by Klarna.

The purchase price payable per Bond is as set out below, in addition to which Klarna has paid and will pay, respectively an amount equal to any accrued and unpaid interest on the relevant Bonds (in accordance with the applicable terms and conditions of the Bonds).

Amount tendered: SEK 516m

Outstanding Amount after tender: SEK 248m

Purchase Price: SEK 466m was tendered at the purchase price 100.126% on 30 March 2021 with settlement on 2 April 2021. SEK 50m was tendered at the purchase price 100.117% on 6 April 2021 with settlement on 8 April 2021.

Open Market Purchases

Klarna intends to, from time to time, carry out open market purchases of all and any Bonds which have not previously been repurchased by Klarna.
